Short Account of the Memorandum & Articles of Dudjom Buddhist Association International Limited

    • obstructive to the progress of the Association or are harmful or injurious to the interests of the Association or who shall wilfully refuse or neglect to comply with these articles or by-laws of the Association or shall be guilty of any conduct unworthy of a gentleman or shall be of unsound mind, shall be expelled from the Association upon a resolution passed at the meeting of the Board of Directors without giving any reason therefor. Provided that the member whose expulsion is contemplated shall be given an opportunity of being heard or to make representations in writing in his or her own defence before the resolution for his or her expulsion is voted upon.
    • (9) Any member who has withdrawn or has been expelled from the Association shall have no more interest or right in the Association and shall not be entitled to the refund of the permanent fee or subscription or contributions previously paid by such member.
    • (10) The Board of Directors shall from time to time determine to what extent and at what times and places and under what conditions or regulations the accounts and books of the Association or any of them shall be open to the inspection of Voting Members not being Directors, and no member (not being a Director) shall have any right of inspecting any account or book or document of the Association except as conferred by statute or authorized by the Board of Directors.
  • G. General Meetings:
    No business shall be transacted at any general meeting unless a quorum of members is present at the time when the meeting proceeds to business and continues to be present until the conclusion of the meeting, save as herein otherwise provided. Such quorum shall be as follows:
    For an Ordinary general meeting - 10 Voting Members or two Directors present in person;
    For an Extraordinary general meeting - 20 Voting Members or three Directors present in person.
  • H. Directors:
    • (1) The number of Directors shall not be less than 2 or more than 10 (including the Ordinary Directors).
    • (2) All Directors of the Association shall serve the Association without any remuneration.
    • (3) The Board of Directors may delegate any of their powers in managing the Association to a Management
      Committee. All members of the Management Committee shall serve the Association without any remuneration.
  • I. Notices:
    A notice may be given by the Association to any Voting Member either by advertisement in the local press or personally, or by sending it by post to him or her to his or her registered address, or (if he or she has no registered address within Hong Kong) to the address, if any, within Hong Kong supplied by him or her to the Association for the giving of notices to him or her.
